- Welcome to www.inphic.com. This Agreement is an agreement between you (hereinafter referred to as "you" or "User") and inphic Electronics Co., Ltd. and its affiliates (hereinafter collectively referred to as "inphic", "we", "us" and "our"). This Agreement applies to all users or viewers who visit the inphic website or application that references or links to this Agreement.
- Before creating an account on the inphic website or application or using the inphic service, you should carefully read and fully understand the terms of this Agreement, especially the terms regarding service fees, applicable laws, dispute resolution, exemption or limitation of inphic's liability, and your rights and obligations.
- By clicking "Agree" on the relevant webpage/application or creating and using a "User Account" (hereinafter referred to as "Account"), you are deemed to have read, understood and agreed to this Agreement and agree to be bound by the terms of this Agreement. If you do not agree to this Agreement, you have the right to exit and stop using the inphic service.
2. User Accounts, Accuracy and Security
2.1 Account Creation
- When you access and use certain parts of the inphic website or application, you may be asked to create a user account and provide information that personally identifies you. Once you have successfully created an account, you can use it to log in to the inphic website without having to create an account again.
2.2 Account Security
- You may be asked to provide a username, password and other information to protect your account. You are solely responsible for maintaining the confidentiality of your password. You may not use anyone else's username or password, share your username and password, or circumvent any authentication mechanism that requires a username, password or any other information to gain unauthorized access to inphic's services. You agree to notify us immediately of any unauthorized use of your account. We are not responsible for any losses you incur as a result of someone else using your account, either with or without your knowledge. You may be held liable for any losses incurred by us, our affiliates, officers, directors, employees, consultants, agents and representatives as a result of someone else using your account.
2.3 Information Accuracy
- For the information you provide, we will only process it to verify your identity and will not use it for unrelated purposes. You represent and warrant that all user information you provide in connection with your account and use of inphic's Services is current, complete and accurate, and you agree to update that information as necessary to maintain its completeness and accuracy by updating your profile. You agree not to intentionally and credibly impersonate another person, whether real or fictitious, by submitting any false content (including, without limitation, any username, likeness or profile of another person). We have the right to deny you access to inphic's Services if we determine, in our sole discretion, that the information you provide is not current, complete or accurate.
3. Privacy Statement and Cookies
- By using inphic's Services, you represent and warrant that you have read and understand and agree to be bound by our Privacy Statement ("Privacy Statement"). As explained in more detail in the Privacy Statement, inphic's website uses cookies to collect certain information from you.
4. Eligibility
- By accessing and using inphic's Services, you represent and warrant that you are at least 12 years old (or 18 years old if ordering products, or completing purchases under the supervision of a guardian) and have the legal capacity to enter into and contract under applicable law. If you are using inphic's Services on behalf of a business entity, you further represent and warrant that you have the authority to act and enter into contracts on behalf of that business entity.
5. Purchases and Payments
- If you purchase products through inphic's website or application, you will be required to provide your billing and shipping information and information about your credit or debit card (each, a "Payment Card") so that we can charge you for the fees associated with your purchase. You represent and warrant that you are the authorized account holder of all payment cards submitted through inphic's website or application and acknowledge and agree that we have the right to charge your payment card for the products and all taxes, shipping and handling fees notified to you at the time of purchase.
- Your order is an offer to us to purchase the products in your order. When you place an order to purchase our products, an email will be sent to you confirming receipt of your order and containing the details of your order.
- We may, at our sole discretion, allow you to purchase certain products by credit card or using the payment processing services of PayPal.com ("PayPal"). You understand and agree that credit cards and Paypal are third parties. If you choose to complete any part of your purchase through these third parties, your purchase may be subject to such third parties' terms of service, privacy policies, refund policies, and other policies and agreements. It is your responsibility to familiarize yourself with these third parties' policies and agreements.
6. Assumption of Risk; Release
- You voluntarily assume all risk when using the inphic Services. You voluntarily agree to release, waive, discharge, release, defend, and indemnify inphic and its owners, officers, directors, employees, agents, affiliates, consultants, representatives, sublicensees, successors, assigns, parents, subsidiaries, and related entities on behalf of yourself, your personal representatives, and your successors.
7. Prohibited Conduct
- You may not use inphic's Services in any manner that causes or may cause damage to the inphic Services or impairment of the availability or accessibility of the inphic Services, or in any manner that is unlawful, illegal, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
- You may not use inphic's Services to copy, store, host, transmit, send, use, publish or distribute any material that consists of (or is linked to) spyware, computer viruses, Trojan horses, worms, keystroke loggers, rootkits or other malicious computer software.
- You may not conduct any systematic or automated data collection activities (including, without limitation, scraping, data mining, data extraction and data harvesting) on or in connection with inphic's Services without our express written consent; you may not use inphic's Services for any marketing-related purpose.
8. Other Parties
- inphic's Services may be linked to third-party services, some of which we may have established relationships with and others of which we may not. We have no control over the content and performance of third-party services. We have not reviewed, and cannot review or control, all of the materials, including computer software or other goods or services, available on third-party services. Accordingly, we do not represent, warrant or endorse any third-party services, nor do we represent, warrant or endorse the accuracy, currency, content, suitability, legality or quality of the information, materials, goods or services available through third-party services. We disclaim all responsibility and liability for any damage or other harm caused to you or a third party due to your use of third-party services, and you agree to bear all such responsibility and liability.
